End User/Customer License Agreement For Vgo™ REV™ Software Product IMPORTANT - READ CAREFULLY THIS END USER/CUSTOMER LICENSE AGREEMENT (THE "LICENSE AGREEMENT") FOR NEOS SOFTWARE, INC'S ("NEOS") VGO REV SOFTWARE PRODUCTS (THE "SOFTWARE" AS FURTHER DEFINED HEREIN) IS A LEGALLY BINDING AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AND NEOS SOFTWARE, INC. FOR THE LICENSING AND USE OF THE NEOS COMPUTER SOFTWARE PRODUCT IDENTIFIED ABOVE. YOU, INDIVIDUALLY, AND ON BEHALF OF ANY ENTITY YOU REPRESENT IN PURCHASING THE SOFTWARE, AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT BY CLICKING YES TO ACKNOWLEDGE YOUR ACCEPTANCE OF SUCH TERMS, BY COMPLETING YOUR ONLINE PURCHASE OF THE SOFTWARE, BY DOWNLOADING, INSTALLING, OR COPYING THE SOFTWARE, AND BY USING THE SOFTWARE IN ANY WAY (THE "ACCEPTANCE ACTIONS"). An electronic version of a license agreement may be contained within the Software. If any of the terms of any such electronic license agreement contained within the Software conflicts with the terms of this License Agreement, the terms of this License Agreement shall control. I. DEFINITIONS 1.1. Computer: Computer as used herein means a single desktop, laptop or notepad computer and does not include servers or computers from which software or programs may be accessed by one or more other computers or "clients". 1.2. Software: Software as used herein means a single copy of NEOS Software, Inc's. Vgo REV software product, including all computer programs contained therein in machine readable object code form as well as the accompanying media, printed materials and "online" or electronic documentation along with all subsequent copies of such software, computer programs, media, materials and documentation, regardless of the form in which they may exist. Software as used herein does not include any source code or the rights to any third-party computer programs, applications or hardware required to use or implement the Software. II. OWNERSHIP You acknowledge and agree that NEOS Software, Inc. ("Licensor") is the sole and exclusive owner of all right, title and interest in and to the Software. The Software is protected by United States copyright laws and international copyright treaties as well as other intellectual property laws and treaties. This License Agreement does not convey to you any interest in or to the Software or any copyright or other intellectual property right in or to the Software. The Software is not being sold, but is instead being licensed for use strictly in accordance with this License Agreement which is revocable in accordance with its terms. III. LICENSE 3.1. Grant of License. Licensor hereby grants and you accept the following non-exclusive, non-transferable license and right to use the Software, subject to the following limitations and contingent upon your compliance with all terms and conditions of this License Agreement. 3.1.1. Rights to Download, Install and Use. You may download, install and use one copy of the Software on a single Computer, and except for making one back-up copy of the Software, may not otherwise copy the Software. The License of the Software may not be shared or used concurrently on different computers. 3.1.2. Open Source Exception. Notwithstanding the foregoing terms of Section 1.1, any portions of the Software designed exclusively for use on the Linux or FreeBSD operating systems, or other open source operating systems, or other operating systems derived from the source code to such operating systems, or using such source code from such operating systems (the "Open Source Portions"), are subject to the open source license terms for such operating systems, including the right to copy and reproduce only such Open Source Portions", provided that the binary files thereof are not modified in any way (except for unzipping of compressed files). 3.2. Limitations. 3.2.1. Reverse Engineering. It is understood and agreed that you shall not copy the Software into any machine-readable or printed form except for archival or for backup purposes in accordance with the other terms of this Agreement, nor shall you reverse engineer, decompile, disassemble, translate, merge into another computer program, obscure or remove Licensor's trademarks or copyright notice or otherwise modify the Software, nor attempt in any other manner to obtain the source code. You may not modify, adapt, translate or create derivative works based upon the Software. 3.2.2. Separation of Components. The Software is licensed as a single product. Its component parts or modules may not be separated for use on more than one Computer, nor otherwise used separately from the other parts. 3.2.3. No Rental. You may not rent or lease the Software or any right or license granted under this Agreement to another individual or entity or provide hosting services involving the Software. 3.2.4 Transfer of Software. You shall not sublicense, assign, or transfer the license or the Software or any rights under this License Agreement without the prior written consent of Licensor. Any attempt or agreement to sublicense, assign, or transfer any of the rights, duties, or obligations hereunder is void. 3.2.5. Support and Training. Your purchase and use of the Software does not entitle you to any support services or training from Licensor, and Licensor hereby disclaims any and all obligation to provide any support services or training related to the Software. In the event that support services or training packages and products are developed for the Software, Licensor may, at its discretion, make such support services or training available to you upon payment of any required fees and subject to any applicable terms and conditions. 3.3. Reservation of Rights. All rights not expressly granted to you by this License Agreement are hereby reserved by Licensor. 3.4. Updates and New Versions. In the event that updates or new versions of the Software are developed, Licensor may, at its discretion, make such updates and new versions available to you upon payment of any required fees and subject to any applicable terms and conditions. Unless otherwise expressly stated in writing by Licensor, such updates and new versions of the Software are not covered by this License Agreement, and Licensor has no obligation hereunder to provide such updates or new versions of the Software to you. 3.5. Term and Termination. This License Agreement is effective upon your undertaking of any of the Acceptance Actions set forth above, and shall continue for a period of twenty-five (25) years unless terminated earlier in accordance with the terms herein. You may terminate this License Agreement, without right of refund, at any time by returning the Software and all copies thereof and extracts therefrom to Licensor. In the event that you fail to comply with the terms and conditions of this License Agreement, Licensor may, without prejudice to any other rights, terminate this License Agreement with no right of refund to you. Licensor may terminate this License Agreement at any time upon the refund to you of any fees paid for the Software. In the event of termination of this License Agreement, you must return all copies of the Software to Licensor. 3.6. Dual Media. You may receive the Software in more than one storage medium. You may only use one medium that is appropriate for your single computer. You may not use, copy, transmit, lease, rent, sell, assign or otherwise transfer the other medium to another user. 3.7. Demo Software License. In the event that you have not purchased the Software but have instead accepted a limited version of the Software for a single use demonstration ("Demo Software"), Licensor grants and you accept a non-exclusive, non-transferable license and right to a single use of such Demo Software for the sole purpose of demonstration, evaluation and trial of the Software, and such license shall immediately expire upon such single use and shall not be available for any further use and shall not be used by you until such time as you purchase a license to the full version of the Software. Upon your acceptance of the single use license to the Demo Software, you agree that the Demo Software is provided to you subject to all limitations contained in this Agreement, and further agree that you shall be entitled to only the single use of the Demo Software and thereafter are not entitled to any further demonstration uses until such time as you purchase a license to the full version of the Software. 3.7.1. Demo Software License Limitations. The Demo Software is provided to you gratuitously in "AS IS" condition, and without warranty. Licensor hereby disclaims all representations and warranties, express or implied, with respect to the Demo Software, including without limitation, warranties of fitness for a particular use or purpose, merchantability and noninfringement. Licensor makes no warranties that the Demo Software will operate without interruption or be error-free. Licensee makes no representations about the suitability of the Demo Software or about the accuracy of any content or information made accessible by the Demo Software. The entire risk as to the quality and performance of the Demo Software is borne by you. Should the Demo Software prove defective or not suitable for your intended use, you and not Licensor shall assume all responsibility for the results or consequences of your use of such Demo Software. Neither Licensor nor anyone else who has been involved in the creation, production or delivery of the Demo Software shall be liable for any loss of revenue, profit or data, or for damages (including direct, indirect, incidental, punitive, consequential and special damages) under any theory of liability (including tort, contract, or any other theory) arising out of your use, download, distribution or of inability to use the Demo Software or in any other way arising out of this Agreement, even if advised of the possibility of such damages. IV. WARRANTY 4.1. Limited Warranty. Licensor warrants that the Software will perform substantially in accordance with the accompanying materials for a period of ninety days from the date of receipt. Any supplements, service packs or hot fixes provided to you after the expiration of the ninety day Limited Warranty period are not covered by any warranty or condition, express, implied, or statutory. This Limited Warranty gives you specific legal rights. You may have others which vary from state/jurisdiction to state/jurisdiction. 4.2. Implied Warranties. If an implied warranty or condition is created by your state/jurisdiction and federal or state/provincial law prohibits disclaimer of it, you also have an implied warranty or condition, BUT ONLY AS TO DEFECTS DISCOVERED DURING THE PERIOD OF THIS LIMITED WARRANTY (NINETY DAYS). AS TO ANY DEFECTS DISCOVERED AFTER THE NINETY (90) DAY PERIOD, THERE IS NO WARRANTY OR CONDITION OF ANY KIND. Some states/jurisdictions do not allow limitations on how long an implied warranty or condition lasts, so the above limitation may not apply to you. 4.3. YOUR EXCLUSIVE REMEDY. Licensor's and its suppliers' entire liability and your exclusive remedy shall be, at Licensor's option from time to time exercised subject to applicable law, (a) return of the price paid (if any) for the Software, or (b) repair or replacement of the Software, that does not meet this Limited Warranty and that is returned to Licensor with a copy of your receipt. You will receive the remedy elected by Licensor without charge, except that you are responsible for any expenses you may incur (e.g. cost of shipping the Software to Licensor). This Limited Warranty is void if failure of the Software has resulted from accident, abuse, misapplication, abnormal use, or a virus. Any replacement Software will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer. Your exclusive remedy for any breach of this Limited Warranty is as set forth above. Except for any refund elected by Licensor, IN NO EVENT ARE YOU ENTITLED TO OR WILL LICENSOR BE LIABLE FOR ANY DAMAGES OF ANY TYPE if the Software does not meet Licensor's Limited Warranty, and, to the maximum extent allowed by applicable law, even if any remedy fails of its essential purpose. The terms of Section IV below ("Exclusion of Incidental, Consequential, and Certain Other Damages") are expressly incorporated into this Limited Warranty. Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. 4.5. DISCLAIMER OF WARRANTIES. The Limited Warranty that appears above is the only express warranty made to you and is provided in lieu of any other express warranties (if any), including those created by any documentation, packaging, advertising or online information. EXCEPT FOR THE LIMITED WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR PROVIDES THE SOFTWARE AS IS AND WITH ALL FAULTS, AND HEREBY DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, AND (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY OR COMPLETENESS OR RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE, AND WITH REGARD TO THE SOFTWARE, AND THE PROVISION OF OR FAILURE TO PROVIDE ANY SERVICES. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION, OR NON-INFRINGEMENT WITH REGARD TO THE SOFTWARE. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. V. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL, AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS LICENSE AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT, OR BREACH OF WARRANTY OF LICENSOR OR ANY SUPPLIER, AND EVEN IF LICENSOR OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES/ JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. In any event, Licensor's cumulative liability to you or any other third party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this License Agreement shall not exceed the license fee paid by you to Licensor for the license and use of this Software. VI. INDEMNITY You agree to indemnify and hold Licensor and its subsidiaries, parents, affiliates and their shareholders, members, directors, officers, employees, agents and representatives harmless from any and all liabilities, losses, actions, damages, or claims (including all reasonable expenses, costs, and attorneys fees) arising out of or in any way relating to the Software or any use of, or reliance thereon. VII. SOFTWARE OUTPUT The Software may be used by you to create and develop other computer software source code ("Software Output"), which Software Output is created by the Software based on your inputs of data and parameters in to the Software. You shall be solely responsible for reviewing, evaluating, testing and ultimately determining the quality and completeness of such Software Output for your intended uses and purposes, and shall indemnify and hold Licensor and its subsidiaries, parents, affiliates and their shareholders, members, directors, officers, employees, agents and representatives harmless from any and all liabilities, losses, actions, damages, or claims (including all reasonable expenses, costs, and attorneys fees) in any way related to the Software Output and the use thereof by you or any other party. Licensor makes no representations or warranties regarding the quality or effectiveness of such Software Output and in particular in no way warrants that such Software Output, alone or in combination with other software, hardware or technology, does not infringe, violate or otherwise read-on the intellectual property rights of others. You are solely responsible for the use and content of all Software Output by you and/or any other party. VIII. MISCELLANEOUS PROVISIONS 8.1. Jurisdiction and Disputes. This Agreement and the Limited Warranty provide for herein shall be governed by the laws of Connecticut, USA. All disputes hereunder shall be resolved in the applicable state or federal courts of Connecticut, and the parties consent to the jurisdiction and venue therein. The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly waived and excluded. 8.2. U.S. Government License Rights. All Product provided to the U.S. Government pursuant to solicitations issued on or after December 1, 1995 is provided with the commercial license rights and restrictions described elsewhere herein. All Product provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with "Restricted Rights" as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable. 8.3. Export Restrictions. You acknowledge that the Software is subject to U.S. export restriction. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user and destination restrictions issued by the U.S. and other governments. 8.4. Integration. This Agreement constitutes the entire understanding of the parties relating to the license of the Software, and revokes and supersedes all prior agreements, oral or written, between the Licensor and you, and is intended as a final expression of the Agreement. It shall not be modified or amended except in a writing signed by an officer of NEOS Software Inc. and specifically referring to this Agreement. This Agreement shall take precedence over any other documents that may be in conflict therewith. 8.5 Headings. The headings used in this Agreement are for convenience only and shall not be construed as part of the Agreement. 8.6. Questions. NEOS, Vgo, and REV are either registered trademarks or trademarks of NEOS Software, Inc. in the United States and/or other countries. YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ THESE SOFTWARE END USER/CUSTOMER LICENSE TERMS AND CONDITIONS, UNDERSTAND THEM AND AGREE TO BE BOUND BY THEM.
